Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Clea. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, please do not use Clea.

1. Overview of Services

Clea enables African importers to:

  • Fund their account in local currency (e.g., NGN)

  • Convert to USD at competitive rates

  • Send cross-border payments to suppliers, auctions, and shippers

We may update, improve, or discontinue any features at any time without prior notice.

2. Eligibility

To use Clea, you must:

  • Be at least 18 years of age

  • Have full legal capacity to enter into this agreement

  • Not be located in a restricted country or subject to economic sanctions

  • Use the platform for lawful business purposes

We may require identity and business verification to comply with anti-money laundering (AML) and know-your-customer (KYC) regulations.

3. Account Registration

You agree to:

  • Provide accurate and complete information

  • Maintain the confidentiality of your login credentials

  • Notify us immediately if you suspect unauthorized access

You are responsible for all activities under your account.

4. Payments and Currency Conversion

By using Clea, you authorize us to:

  • Accept payments in your local currency

  • Convert funds to USD or other supported currencies using rates provided by our partners

  • Remit payments to designated beneficiaries (e.g., suppliers, auction platforms, shippers)

We strive to offer competitive exchange rates and transparent fees. However, rates and fees may vary based on market conditions.

5. Banking Partners and Third-Party Service Terms

Some Clea services may be provided through regulated banking, payment, or financial infrastructure partners.

By using services provided by Clea Inc through our banking partner, Plata Capital Canada Inc, trading as Sokin, you agree to the Sokin Terms and Conditions available at https://sokin.com/platform-terms-conditions (“Sokin T&Cs”).

Where there is a conflict between these Terms and the Sokin T&Cs in relation to services provided by Sokin, the Sokin T&Cs will prevail.

You also authorise Clea Inc to collect, process, and share all required onboarding, compliance, and transaction documentation with Sokin and to represent you in the delivery of these services.

6. Fees and Charges

  • All applicable fees will be displayed before completing a transaction.

  • You are responsible for any third-party charges (e.g., bank fees).

  • No hidden charges or monthly subscription fees unless otherwise stated.

7. Compliance and Prohibited Activities

You agree not to use Clea for:

  • Money laundering, terrorism financing, or illegal activities

  • Fraudulent transactions

  • Sending payments on behalf of unverified third parties

  • Engaging in currency arbitrage or manipulation

Violation may lead to account suspension or termination.

8. Intellectual Property

All content, branding, software, and technology used in Clea are the exclusive property of Autoclear Inc. or its licensors. You may not reproduce, distribute, or create derivative works without our express permission.

9. Privacy

Your use of Clea is also governed by our Privacy Policy

10. Limitation of Liability

To the maximum extent permitted by law:

  • Clea is provided “as is” without warranties of any kind.

  • Autoclear Inc. shall not be liable for indirect, incidental, or consequential damages, including loss of funds or business opportunities.

  • Our total liability shall not exceed the total fees paid by you in the 6 months preceding the claim.

11. Termination

We may suspend or terminate your access to Clea:

  • If you violate these Terms

  • If required by law or regulatory authorities

  • Upon your request to close the account

Any funds held will be returned after resolving all compliance checks and pending obligations.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notifications. Continued use of Clea after changes signifies your acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the region we operate in.
